By-laws
(Ratified Saturday, October 25, 1997)

Article I - Author
Article II - Name
The name of this golf club shall be "The Cooper
Union Amateur Golf Association". This shall often be abbreviated
as "CUAGA".
Article III - Purposes
Article IV - Membership
- There will be
a minimum of ten (10) members and a maximum of five hundred (500)
members of CUAGA at all times.
- Membership shall be available to all
full time matriculated students at the Cooper Union for the Advancement
of Science and Art.
- Membership shall be available to all
former full time matriculated students at the Cooper Union for
the Advancement of Science and Art.
- Membership shall be available to all
faculty members of the Cooper Union for the Advancement of Science
and Art.
- Membership shall be available to all
former faculty members of the Cooper Union for the Advancement
of Science and Art.
- Membership shall be available to any
person seventeen (17) years old or older by nomination of any
member and approval of the Board of Directors. The Board of Directors
cannot approve any such nomination if the percentage of members
in CUAGA admitted under this section would not be less than fifty
percent (50%) after such approval.
- All candidates for membership require
a majority of the membership committee or, in the absence of a
membership committe, the Board of Directors for admittance to CUAGA.
- Memberships are individual and non-transferable.
- Only golfers with a reasonable and
regular opportunity to play golf with fellow members and who can
personally return scores for posting may be members and receive
USGA Handicap indexes from the club.
- Members must participate in at least
one outing of at least nine (9) holes and seven hundred fifty
(750) yards with CUAGA before membership is awarded.
- Members are required to fulfill a participation
requirement annually.
- The participation requirement may be fulfilled
by participation in at least one club golf outing of at least
nine (9) holes and seven hundred fifty (750) yards with peer review
of score cards.
- A member may be exempt from the participation
requirement is the member becomes physically unable to participate
in CUAGA events. In the event of temporary physical disability,
the member will not be expected to fulfill the participation
requirements until the first full season after rehabilitation.
- First failure to do so will result in a written
warning to the member and a suspension of active membership. A
second consecutive failure will result in the suspension of issuance
of a USGA Handicap Index. Upon a third consecutive failure, the
board of directors reserves the right to vote to terminate membership.
The suspension shall be revoked upon completion of a CUAGA event.
At member request, the board may delay enforcement of this rule
for one (1) year once for each member.
- Members are
expected to pay annual dues by January first. Failure of a member
to pay annual dues will result in suspension of membership until
all annual dues and penalty charges are paid in full.
- All memberships are considered provisional
until January first when membership requirements will be verified.
Any member provisionally accepted who isn't finally accepted
will have any dues paid refunded.
- Suspended members may not participate in any club vote, participate
on any committee, the Board of Directors or receive USGA Handicap
indexes from the club.
- Membership confers no voice in the
operation of any golf courses, clubhouses nor facilities of the
same.
- Membership confers no special privileges
in connection with any golf course.
- Memberships are annual, expiring on
October thirty-first. All members in good standing are automatically
renewed.
- The fiscal year for CUAGA is November
first until October thirty-first.
- The Board of Directors may confer
honorary memberships upon those whom they feel have contributed
to the enrichment of the community of the Cooper Union for the
Advancement of Science and Art. A unanimous vote of the Board
of Directors is required to grant an honorary membership. Honorary
members are exempt from annual dues and attendance requirements.
- In the event that any member of CUAGA
shall commit any act which discredits or reflects disrepute upon
CUAGA or shall refuse or neglect to comply with the rules and
regulations adopted by the Board of Directors or the duly appointed
officers, such member shall be subject to suspension or expulsion
after ten days written notice and the right to be heard, by a
vote of two-thirds of the Board of Directors at any regular meeting
or special meeting called for such purpose.
- The Annual Meeting of CUAGA shall
take place on the fourth Saturday in October. The Board of Directors
shall provide for the holding of such other meetings as may be
deemed necessary or desirable, and they shall call special meetings
upon written petition signed by not less then twenty-five percent
(25%) of the membership. The Board of Directors may change the
date of the Annual Meeting before October first with a two-thirds
majority vote or after October first with a unanimous vote.
Best efforts will be made to notify the members of CUAGA of all
scheduling changes.
- A quorum at any such meeting shall
be either fifty percent (50%) of the membership in good standing,
or twenty (20) members in good standing present in person or by
proxy. Each member in good standing is entitled to an equal vote.
With the exception of the Chairman of the board who is only entitled
to a vote in the event of a tie.
- All membership fees and dues shall
be established by the Board of Directors from time to time in
such amounts as they deem to be adequate to operate and maintain
the club. Current fees and dues will be publicly available to
all members. Members shall be liable for dues until their written
resignation has been received and accepted. All monies collected
shall accrue to the benefit of the membership.
Article V - Board of Directors
- The Board of
Directors shall consist of five members in good standing of CUAGA
and they shall exercise all powers of management of CUAGA not
specifically excepted by these By-Laws.
- The Board of Directors shall consist
of at least fifty percent (50%) members who are past or present
matriculated students or faculty of the Cooper Union for the Advancement
of Science and Art.
- Prior to September fifteenth (15th)
the Board of Directors shall appoint a nominating committee consisting
of five (5) members of CUAGA. Prior to October first (1st) and
at least two weeks prior to the Annual Meeting, this committee
shall submit to the Board of Directors and shall publicly post
a list of nominees to fill any vacancies for the term of office
beginning the day of the Annual Meeting.
- Each members of the Board of Directors
shall serve for one year. Each member of the Board of Directors
may be re-elected without limit during the election held at the annual
meeting.
- The Board of Directors shall meet at such times and places
as they may select and a majority of the board shall constitute
a quorum at any meeting.
- Members of the Board of Directors must be members in good
standing who have fulfilled the participation requirement the
prior year. Any member of the Board of Directors who is not a
member in good standing is immediately removed from the Board
of Directors.
- In the case of any vacancy on the
Board of Directors, the remaining directors may, at their option,
elect a temporary successor by majority vote.
- A member of the Board of Directors may be impeached by the
general membership when the general membership believes that the
member of the Board of Directors is no longer suitable for his
position. Impeachment procedures shall be as follows:
- In the normal manner (a petition signed by twenty-five
percent (25%) of the members in good standing) the membership
will call for a special meeting of the general membership.
- At the special meeting of the general membership
there will be a discussion concerning the possible impeachment
including, but not limited to the reasons for impeachment and
defense against impeachment.
- A vote shall be taken. Impeachment requires seventy-five
percent (75%) of the members in good standing who vote on the
issue, whether in person or in proxy, to vote in favor of impeachment.
- Any further impeachments shall immediately be
conducted.
- After all impeachments, nominations for replacements
shall be taken from the general membership. All nomination that
are seconded are accepted.
- Canidates will be discussed and given an opportunity
to make a statement.
- An election shall ensue until all positions are
filled. Canidates must have received votes from at least fifty
percent (50%) of the members in good standing who vote, whether
in person or in proxy, in order to be elected. In the event an
additional ballot is required to fill all the positions, any canidate
who failed to receive votes from at least ten percent (10%) of
the members in good standing who vote, whether in person or in
proxy, shall be removed from the ballot. In the event this provides
insufficient canidates to fill all empty positions on the Board
of Directors, nominations will again be accepted.
Article VI - Officers / Committees
- Within two (2)
weeks of the Annual Meeting the Board of Directors shall meet
and elect the officers.
- The officers shall consist of a President,
Vice-President, Past-President, Secretary and Treasurer, and their
duties shall be such as their titles would indicate or such as
may be assigned from time to time.
- The Board of Directors shall authorize
and define the powers and duties of all committees. Chairmen and
members of all committees shall be appointed by the President,
and the President shall be an ex-officio member of all committees
except the nominating committee.
- Except as modified by the Board of
Directors, all appointed committees shall function as recommended
in the USGA Golf Committee Manual. The following committees shall
be appointed each year, with such other committees as the President
may deem necessary or advisable.
- Handicap Committee
composed primarily of members with the responsibility to establish
a fair and proper system of handicaps in accordance with procedures
set forth in the USGA Handicap System Manual
- Tournament Committee
to arrange and schedule with the management of any golf course
as necessary, and conduct all intra-club and inter-club competitions.
Article VII - Amendments
- The Board of
Directors shall have the power to repeal or amend any of these
By-Laws provided that such revisions shall not be effective until
approved by a majority vote of the members in good standing of
CUAGA at a meeting held in accordance with the provisions contained
herein.
- Should these bylaws be found insufficient, in conflict with,
or otherwise fail to satisfy the USGA guidelines for a golf club
without property the Board of Directors shall have the power to
repeal or amend any of these By-Laws provided that such revisions
are necessary for conformance to USGA guidelines for a golf club
without property with a majority vote. Such revisions shall be
effective immediately until the next annual meeting. At the annual
meeting the revisions shall be voted upon and if not ratified
by a majority of the general membership the membership shall discuss
and approve revisions that will satisfy the USGA guidelines. Should
the membership fail to approve revisions that will satisfy the
USGA guidelines the newly elected Board of Directors shall have
the power to repeal or amend any of these By-Laws provided that
such revisions are necessary for conformance to USGA guidelines
for a golf club without property with a majority vote.
