House Contract
AGREEMENT OF PURCHASE AND SALE


1.                  hereby agree to purchase from Alexander Levin
    land and dwelling described as follows:
   
    Lot 6, Block 11, Plan FB2048, village of Pangman,
    Province of Saskatchewan, Dominion of Canada,

    for consideration of the sum of eleven-thousand US dollars
    in its current state of repair.


2.  Possession date shall be          , 2006.


3.  Vendor shall hold Title to this property , in Trust, until paid in full.


4.  Upon payment of full purchase price Vendor shall transfer to Purchaser Title
    to this land free and clear of all financial liens and encumbrances.


5.  Purchaser agrees and shall: keep property in good repair, keep property taxes
    current, perform needed and/or desired repairs and improvements at own expence,
    not do anything that will diminish the value of the property.


6.  Subject to limitations of this Agreement, Purchaser has the right and assumes
    responsibility for this property as of possession date to peacefully enjoy
    and possess, enter into contractual obligations, improve, rent, sell,
    and administer any interest in this property, so long as terms of this
    Agreement kept.

7.  'Agreement of Purchase and Sale' and 'Financing Agreement' constitute one Ageement.

                          FINANCING  AGREEMENT
in US dollars


1.  Vendor shall provide a loan to Puchaser for the purchase of
    the said property in the mount ofeight-thousand dollars.

2.  Repayment terms shall be as follows:
    a) loan commences        , 2006
    b) $3000-- interest-free payments shall be made prior to loan commencement
    c) 8.00% interest per annum shall be charged on balance
    d) frequency of payments are monthly
    e) thirty-six monthly payments shall be made on the first day of every month
    f) amount of monthly payment shall be $250.69--
    g) no overpayment or prepayment penalty
    e) balance due on expiration $0.00--


4.  Arrears of $501.38-- shall prompt Vendor to recall the loan. Recalled loan
    shall become due and payable in 60 days.

6.  If recalled loan is not repaid within 60 days of recall, Purchaser
    shall be considered in default and lose possession of the land and dwelling.
