The People Empowerment Mutual Insurance Group, Inc., which functions as a PEOPLE EMPOWERMENT MUTUAL LIFE & CASUALTY INSURANCE COMPANY, is working in Pennsylvania's local communities on the development and preservation of a public/private institutional financial support vehicle for advancing and maintaining citizens' constitutional rights to life, liberty and the pursuit of happiness through individual economic and social advancement.

Our community financial-risk management function mission is working with the government as a public/private endowment funding entity for our needy citizen/resident beneficiary-policyholders. Needy citizen/resident beneficiary-policyholders of mutual responsibility plans for human development that are to be financed by our mutual insurance company. Uniquely, unlike traditional human services finance model programs, a trust corpus is created that begins to build ownership of real wealth assets for the participating distressed community members. Further, uniquely unlike traditional human services finance model programs, ours operates in a human development support systems delivery process that features the integration of human development finance with human development support services delivery in a separation of duties oversight framework. The program creates insurance finance instruments that fund support for the human development process that are owned by program participants. Our community financial-risk management function operating procedures and our target markets (i.e. the general public needy citizen consumer, and the government include all of the Local, State and Federal Government Authorities and their participating public and private entity/agencies interacting therewith).

MISSION STATEMENT

Our mission is to define and apply unique strategies for community financial-risk management and programs consistent with the needs of the needy citizens and residents of Pennsylvania's local communities. The process begins with the need to transact the delivery of Individual Development Account Trust Agreement (IDATAÔ) human development support services mutual responsibility agreements through a transfer transaction of financial resources from the Federal and State Government that serves as a Trust Corpus in the name of the mutual responsibility contract - student/client beneficiary-policyholder. The beneficiary-policyholder carries this IDATAÔ document which is a mutual responsibility agreement plan defining their activities of self-help for their survival in our new computer-age economy society. The People Empowerment Mutual Life & Casualty Insurance Company, Inc. is establishing itself as an Up from Dependency human development support services finance vehicle for all target distressed area citizen/resident student/client beneficiary-policyholders.

The Up from Dependency strategy finance vehicle is a national model community economic development program that under the US Empowerment Contracting Executive Order consolidates Federal and State Government program funding that cuts across agency lines to be channeled into community-based, integrated social malaise prevention programs, centered around economic development with human development support services. The integrated community development support programs are created by an executive order waiver process. The executive order waiver process is to work by the People Empowerment Mutual Life & Casualty Insurance Company, Inc. (PEMIG®), a public/private community-based organization working with other Community Rebirth Organization Plan (CROP) - Action Team® member agencies coordinating through the Governor's Office and through direct petition to the Executive Office of the President of the United States, petitioning to create a Neighborhood / Safe-Haven - Self-Help - Community Government (Job/Life Instruction) Resource Center School human development support services delivery community wide area network (WAN), system of service agencies. The Federal/State Government formed Inter-agency Task Force conducts a census of the federal/state domestic assistance programs that the Neighborhood / Safe-Haven - Self-Help - Community Government (Job / Life Instruction) Resource Center School Agencies qualify for under existing education and social support consolidated appropriation resource allocation procedures. The census is to be tied to the creation of qualified Individual Development Account Trust Agreements (IDATAsÔ) for targeted community needy citizen residents. The consolidated appropriation resources will then be funneled directly through to the Neighborhood / Safe-Haven - Self-Help - Community Government (Job / Life Instruction) Resource Center School CROP human development support service agency organizations through a credit union financial intermediary. The credit union financial intermediary is the People Empowerment Credit Union (PECUÔ), a community development credit union that works with the mutual insurance company on the management-administration of the needy citizen/resident beneficiary-policyholders of the mutual responsibility IDATAÔ plans being financed.

The credit union is to be chartered to tie to the area that the appropriation census is based upon. The credit union will have general program fund accounts and personal individual accounts for neighborhood / community citizen/residents that are funded IDATAÔ accounts to implement human development/advancement risk-prevention programs under the scope of selected domestic assistance program objectives. Because the program participants are owners of the credit union and mutual insurance company, they are in effect the owner-operators of the financial institutions of their community. Since ownership changes behavior, the distressed communities will eventually free themselves from the malaise of economic and human development education distress.

The People Empowerment Mutual Insurance Group, Inc., hereinafter called the People Empowerment Mutual Life & Casualty Insurance Company, Inc., also known as PEMIG®, is the prime operator of a community financial-risk management program strategy for community human and economic development and is an empowerment contracting organization implementing public/private community alliance action plan policy and strategy to provide:

1) Insurance Support and Financial Management Services in support of human development support services delivery that include: a) creating a human development support infrastructure that provides compensatory financial support services (e.g. graduated co-pay health - medical insurance that features mandatory nutritional-stress-management-program participation);

b) establishing operational procedures for participating organization cost recovery and service delivery to program policyholders as a new business trust protocol so as to provide basic and vocational training via computer technology programs that builds on current skill level attainment, or re-introduces basic educational skills needed to achieve basic literacy for future growth; and,

c) establishing institutional arrangements in order for mutual responsibility contract policyholders to achieve economic stability and social justice in actualizing their rights as informed citizens of the United States;

2) a cost allocation billing model and system procedure for the cost recovery of integrated services delivered to program student-client policyholders through a wide area network (WAN), communications system;

3) a test bed configuration of computer instantaneous communication hardware-software components supporting financial and technology skill's development investment programs in full operational mode after being installed and tested at selected Satellite Computer Distance Learning Charter School Partner Sites; and

4) support for the right-sizing and institutionalizing of new neighborhood government through the provision of new community safeguards for community and human development future finance securities.

COMMUNITY AND HUMAN DEVELOPMENT FUTURE FINANCE SECURITIES

Community and human development future finance securities functioning includes the integration of economics / financial support systems and education for the establishment of wealth assets ownership and investment program planning which are financial and technology skill's development investment programs. The financial and technology skill's development investment programs include: 1) an Insurance Support Services operation serving as a financial reservoir for Viatical community investment (community {private} trust) policy planning and implementation, potential loss coverages, bonding & surety for the allied trades, capital campaigns, legal reserve management policy to create Alternative Finance Strategy® for community organization partners and other business programs critical to the continued establishment and support of sustainable communities;

2) a Financial Management Services operation serving as an insurance syndication house and partner to local wholesale commercial depository management offices creating insurance/financial guarantees that allow community business partners with skills to participate in the re-establishment of capital, assets and debt management in distressed communities; and

3) new community and human development future finance securities safeguard provisions to include the legal reserve corpus preservation of a series of trusts that act as a principle authority in community economic development programming and application. Some of the types of trusts being established for this program are: community (private) trusts, education trusts, endowment trusts, living trusts, business trusts and specialized real estate investment trusts (SREITs). These community investment programs are the strategic financial basis for expansion of the use of cyberspace distance learning and are the financial transaction modalities in lieu of the 'brick and mortar infrastructure'.

COMMUNITY-RISK MANAGEMENT

Our target primary funding market is the Government and participating Public/Private Entity/Agencies coordinating themselves therewith as the general needy consumer public human development support services government agencies and the general needy consumer public themselves known by the Insurance Departments' operational standards as our Beneficiary-Policyholders. General needy consumer public participates in our People Empowerment Mutual Life & Casualty Insurance Company through being policyholders by way of Specialized Mutual Responsibility Plans (Individual Development Account Trust AgreementsÔ {IDATAsÔ}), under specified Federal and State adjunct legislative policies listed below. The beneficiary-policyholders are the fiscal oversight and shared owners of Specialized Mutual Responsibility Plans that features self-help through computer-based assessment with instruction treatment for literacy development, technical education, positive health practices, nutrition-based substance abuse prevention and career exploration business development. In addition, the plans have components which:

1) institutionalizes capital acquisition for small business formation and job development within empowerment zone / enterprise community (EZ / EC), neighborhoods and other areas with same demographic profile; and

2) create Community Investment Corporations (CICs), - specialized real estate investment trusts (SREITs), which is a real estate development and community economic development services delivery organization that also delivers human development support services through a Neighborhood Transformation Initiative - Block-by-Block / Family-by-Family 'Community-risk Management' Program.

The institution of our new government supported program is governments re-invention through a down-sizing process that allows local communities to control the management provisions of the new community and human development future finance securities. The Community, Human & Economic Development Neighborhood Government Resource Center School/Campus of Distance Learners (OCS) Omni-community Charter School/Filawerx Insurance Academy, Inc., is a new policy (Community-risk Management), for government re-invention that is a Community Rebirth Organization Plan_ (CROP_) Action Team® activity that is functioning as an insurance activities' coordination community networking group. An insurance activities' coordination community networking group providing management services and technical assistance, professional training, insurance support and financial management services, research services, cooperative business-consortium services and individualized referral and resource services in cooperation with all participating government and public/private entity/agencies, in order that all distressed area citizen/residents may achieve their maximum potential in our society.

The provision of new community and human development future finance securities is the fiduciary function performed by the establishment of Institutional Guardian Agencies (Empowerment Sub-contracting Organizations), that promote business ownership expansion promotion through public/private community empowerment contracting collaborative partnerships. Institutional Guardian Agencies that uniquely unlike traditional human services finance model programs, operate in a human development support systems delivery process that features the integration of human development finance with human development support services delivery in a separation of duties oversight framework. The program creates insurance finance instruments that fund support for the human development process that are owned by program participants.

The Institutional Guardian Agencies community collaborative partnerships are appropriate vehicles for an empowerment sub-contracting program. The empowerment sub-contracting program is a "Community Trust Organization" for "Family Life Improvement" with college & university partners structure that serves as an Empowerment Sub-contractor, Federal & State Sponsorship and Endorsed Community (Private) Trust, Insurance Agency, Lobby Committee, Alternative Finance Plan (Charitable Giving) through learning-by-doing, a Repository of Strategic Business Plans and other Policies for Community Economic & Political Empowerment (Computer Distance Learning Regional Networks), to expand the community role in the administration/management of community and human development future finance securities.

PEMIG® is specializing in developing and applying community-risk management strategies in partnership with small business institutions in local neighborhoods throughout Pennsylvania's local communities. These small business institutional-partnerships conform to applied principles and strategic programs not normally utilized and applied in community economic development situations in targeted distressed areas. All targeted distressed areas are State Representative Districts or Community and Business Marketing Service Areas that have designated Empowerment Zone - Enterprise Communities (EZ/EC) and Supplemental Empowerment Zones - Keystone Opportunity Zones (KOZ). These applied principles and strategic programs require that public announcement and support of institutional economic and education operational reforms enhance public support for the expansion of the industrial base and the creation of competition.

You already know the need for economic and social justice to be implemented for local residents. You know the need for the implementation of a social and economic justice reform process that results in a higher income level for people so that all may prosper! A social and economic justice process that through certain ECONOMIC and EDUCATION POLICY REFORMS gets people paid by providing public education on financial-literacy-by-doing, that successfully prepares local citizens to work in and manage computer-age businesses, in a state that has cities whose "right-sized" computer automated government and school system administrations put their city-based businesses and residents to work on all our publicly funded development and operational activities. This is the reason we are working through the CROP program, its mission, principles and objectives to help stimulate the economy in these local areas and to create business. Also, we are requesting that the Insurance Department consider alternative Certificate of Authority granting strategies for our mutual insurance organization whose operating policy is specifically geared toward community economic and human development and the stimulation of economic growth strategies through the creation and expansion of free market economies across distressed communities in Pennsylvania.

The PROGRAM OBJECTIVES of the People Empowerment Mutual Life & Casualty Insurance Company Inc. (PEMIG®), include assisting in putting in place economic and educational institutional operational reforms for Local, State and Federal Government Organizations and their coordinating Public/Private Entity/Agencies therewith and Local School Districts across Pennsylvania. Institutional economic and education operational reforms that to the maximum extent feasible, utilize Government Agency contracting and supply-service purchasing activities to promote business ownership expansion promotion opportunities, economic development and specific economic growth strategies and advancement of historically majority owned small and historically disadvantaged minority contractors-suppliers located in a Local Government Jurisdiction and with municipality citizen-residents. PEMIG® is also aimed at having Local Government Agencies and the Local School Districts across Pennsylvania to implement compensatory action plans for historically disadvantaged minority contractors-suppliers, and historically disadvantaged Pennsylvania citizen-residents to compensate for past biased economic development contracting, and general supply-service purchase practices.

PEMIG financial support program is needed because the only real guarantee of peace and security in our local communities is economic and social justice for all. PEMIG® will not only be a salvation for the community, but will serve as a model for the nation through its unique financing strategy for the operation of Self-Help Business Support Job - Life Instruction Resource Center Agencies funded, through a Federal, State and Local Government Inter-agency Task Force Program, via the regulatory waiver process. The program which is a unique national model program, will operate throughout our Communities Empowerment Zone/Enterprise Community (EZ/EC) Areas. The program is a Unique Community Outreach Program which begins to provide the many services needed to effectively address the drug abuse and drug-abuse-related violence, that is being fueled by the negative economic and social conditions throughout our local communities.

The PEMIG financial support program addresses the economic paradigm shift that our society has undergone in moving from the "mass production and mass employment factory-age economic system" (old order) to a computer-age cybernated production system, with the majority of jobs being provided by automated small businesses. Our economic system has undergone fundamental change but our political and social institutions are still structured to support the "old order". The massive economic dislocation and social alienation with violence that our local municipalities and society at-large is under-going, can be seen as a by-product of the exacerbation of contradictions posed by the power holders of the "old order" trying to maintain outmoded institutions and their dogmatic clinging to outmoded approaches to solving technically oriented social and economic problems.

In order to promote economy and efficiency in our society's economic development, it is necessary to secure broad-based competition through the establishment of institutional guardian agencies. Institutional guardian agencies that promote business ownership expansion through public / private empowerment sub-contracting community collaborative partnerships. This broad-based competition is best achieved where there is an expansive pool of potential historically majority owned small and historically disadvantaged minority contractors-suppliers who are community collaborative partners capable of producing quality goods and services at competitive prices. A great and largely untapped opportunity for expanding the pool of such contractors can be found in economically distressed communities. Fostering growth of these small business contractors in economically distressed communities and ensuring that those historically majority owned small and historically disadvantaged minority contractors become viable businesses for the long term, will promote economy and efficiency in community economic development procurement and help to empower and sustain our local communities. Fostering growth in long-term viable contractors will be promoted by offering appropriate incentives to qualified businesses through empowerment contracting/government interaction. Thus, an effective vehicle for fostering growth is an empowerment contracting program that institutes new government interaction (public/private community alliance partnerships), through the provision of new community safeguards for community and human development future finance securities.

The provisions of our new community management and administration safeguards for community and human development future finance securities for our People Empowerment Mutual Life & Casualty Insurance Company and its Institutional Guardian/Managing General Job-Life Insurance Broker/Agencies, serving as community, human & economic development neighborhood government resource center advocate promoters (Community Risk Management), creates an economic opportunity safety-net. The advocate/promoters of the economic opportunity ownership expansion safety-net infrastructure supports policies for neighborhood government re-invention as a part of the Community Rebirth Organization Plan (CROP) Action Team® Program.

The CROP Action Team® is a coalition of advocates in support of the community and human development future finance securities that are financial products designed to support economic and education reform within distressed communities. Economic and education reform involving the establishment and preservation of a Trust Corpus that will finance and support future human development needs of community entrepreneurs (citizen/residents in need), through consolidated federal and state government resource education appropriation allocations that the community citizen/residents qualify for.

The consolidated Federal and State Government resource education appropriation allocations are resource provisions that allows our People Empowerment Mutual Life & Casualty Insurance Company to serve as a social, economic and education coordination networking group to create and strengthen community and human development future finance securities. The CROP_ Action Team® Institutional Guardian networking group is a policy development committee for the creation and management of training-to-work programs and strategies for social and economic welfare reform through the creation of community and human development future finance securities.

The CROP Action Team® Institutional Guardian networking group social and economic welfare reform program operates in a multi-level, cause/relevant issue, network marketing, extraordinary business income, economic opportunity framework that gets the people paid. This business income economic opportunity framework is the action plan implementation infrastructure bringing community residents into the education and economic reform process of wealth assets ownership development in conjunction with the wealth and health network seminar session (WHNS). The WHNS economic opportunity framework is also a strategic community economic development reform and social planning for all ethnic minority and disadvantaged persons within a framework of economic and social justice so that these persons can obtain educational, social management services, and technical assistance, professional training, insurance support and financial management services, research services, cooperative business-consortium services and individualized referral and resource services in cooperation with all participating government and private entity/agencies, in order that all distressed area residents may achieve their maximum potential in our society.

The PURPOSES of PEMIG functioning as the People Empowerment Mutual Life & Casualty Insurance Company include:

a) strengthening the economy and improve the efficiency of community economic development procurement - encouraging business development that expands the industrial base and increases competition;

b) serving as a life and annuities, accident & health, property & casualty and surplus/excess mutual insurance company, including reciprocal underwriting and inter-insurance servicing Government and Private Entity/Agencies. Serve as a conduit and repository of business policies to deliver human development support services and the expansion - promotion of business ownership and access to capital credit and low-cost insurance through federal and state sponsored institutional guardian agencies;

c) promoting the Community Rebirth Organization Plan (CROP) Action Team® agenda functioning as a coordination networking group - insurance professionals of all types - policy development committee for considerations in underwriting Sustainable Development projects that utilize the integration of business economics and business education into community business enterprise development projects. The focus is on business economics and business social action for all ethnic minority and disadvantaged persons within a framework of economic and social justice so that these persons can obtain educational, technical assistance, professional training, Insurance Support and Financial Management Services, and cooperative business-consortium services in the Empowerment Zone - Enterprise Community (EZ/EC) areas and all surrounding communities with same demographic profile, in cooperation with all participating mutual and stock insurers, in order that all may achieve their maximum potential in society;

d) operating a computer-age business development and instruction training-to-work resource center financial underwriting program that collaborates with all electronic data interchange technologies;

e) negotiating in partnership with the Campus of Distance Learners (OCS) Omni-community Charter School with new institutional underwriting members, computer based training (CBT), strategies that provide continuing education (CE), insurance testing and general knowledge of insurance and its industry to all new and existing insurance agents and brokers and targeted residential distressed areas and their neighboring communities at-large;

f) creating designer financial services products specifically for the targeted distressed area member-student-client and member-student-client families (beneficiary-policyholders). The designer financial services products are a strategic insurance and financial management services support base for community reinvestment and restructuring through the re-allocation of financial, material and manpower resources entering all empowerment / enterprise zone communities for community economic development projects (e.g. graduated co-pay health - medical insurance that features mandatory nutritional-stress-management-program participation);

g) Perform community and human development future finance securities functions of:

g1) overseeing the financial management-support and legal reserve preservation infrastructure of a series of Trust Corpuses that support individualized integration of assessment with instruction and nutritional-based therapy to finance and support, individual and future Human Development needs of Community Entrepreneurs (citizens/residents in need), through Federal and State Government Education Appropriation Allocations they qualify for;

g2) serving as a policy development committee to oversee management of fiduciary partner mutual and (stock) insurers for: contract compliance/contract services management, product marketing oversight management, product design, product services management, underwriting, licensing and contracting field marketing and downline field offices, re-insurance management and to serve as a two tier operation:

1) training-to-work - no income/low income - financial literacy, health literacy and basic & technology literacy; and

2) career exploration - societal mainstream functional literacy;

h) providing financial instrument product design supports for institutional operational reforms for the local government agencies and the Omni-community Charter School (OCS) - NewDeal Green PC_ team. Custom financial instruments product design that supports the institutionalization of education and economic operational reforms that to the maximum extent feasible utilize contracting and supply-service purchasing activities to promote business ownership, economic development and advancement of historically majority owned small and historically disadvantaged minority contractors-suppliers;

I) operate as a financial services policy regulation council representing the will and spirit of the insurance community in support of building a social and economic infrastructure that:

1. Provides effective computer technology education, with basic education;

2. Provides business ownership expansion promotion through open access to capital credit (business start-up loans, business credit), and fair priced insurance with technical assistance for all businesses in need;

3. Provides employment and business opportunities on a "level playing field" with infant industry supports;

4. Provides for health maintenance through wholistic and nutritional-based therapies;

5. Provides access to appropriate construction technology and resources to develop affordable and appropriate shelter for all the citizens of the Community that features modern amenities, while preserving the architectural heritage of the community; and

6. Provides support infrastructure needed by students to achieve mastery of basic academic skills (i.e. language, mathematics, science and social studies) in their areas of choice and to provide the experiences needed by students to develop personal character integrity.

j) strategically align, sub-contract and interact with Community (Private) Trusts in support of fully integrated fiduciary management and fiscal oversight management for human capacity building and for the delivery of public and private resources, controlled by community residents (beneficiary-policyholders), through the establishment of strategic alliance public/private empowerment contracting community collaborative partnerships (i.e. Block Associations, Community Associations...), with various local, state and national community economic development enhancement agencies; and

k) assist in chartering a non-profit private charitable trust for organizing funding accumulated from the solicitation of charitable contributions and the leveraging of assets to raise funds for the lending of monies through our alliance partner, People Empowerment Community Development Federal Credit Union (PECUÔ), to small business institutions to help stimulate financial growth throughout local communities.

OTHER PEMIG® OPERATION ELEMENTS

The PEMIG®'s mission includes the creation of IDATAÔ financial instrument accounts working with the government as the endowment funding entity for the needy citizen/resident beneficiary-policyholders (i.e. financial instrument) of the mutual responsibility plans being held through the People Empowerment Credit Union (PECUÔ), and financially managed by the mutual insurance company. The IDATAÔ financial instrument accounts consolidate appropriation resources that are funneled directly through Neighborhood / Safe-Haven - Self-Help - Community Government (Job / Life Instruction) Resource Center School organizations that are alliance and/or collaborative partners to the Community Trust Organization. The Community Trust model is an Up from Dependency strategy vehicle that is an empowered agency of the PEMIG® and a national model community economic development program that under the US Empowerment Contracting Executive Order consolidates Federal and State Government program funding that cuts across agency lines to be channeled into community-based, integrated social malaise prevention programs, centered around economic and human development through the IDATAÔ financial instrument accounts.

The IDATAÔ financial support strategy serves as a community financial-risk management vehicle for our society. The community financial-risk management vehicle is an infrastructure that operates through the IDATAÔs' being placed by the Mutual Insurance Company functioning as an insurance syndication house and partner to local, regional and national wholesale commercial financial insurance instrument placement houses. The insurance financial instrument syndication process results in the creation of insurance/financial income-annuity guarantees that allow community business partners with skills to participate in the re-establishment of capital, assets and debt management in distressed communities. The financial instrument account holders who participate in our People Empowerment Mutual Life & Casualty Insurance Company, Inc. through being a qualified recipient of Specialized Mutual Responsibility Plans (Individual Development Account Trust AgreementsÔ (IDATAÔs)) are also PECUÔ account holders.

The IDATAÔs' create an economic opportunity ownership expansion safety net for maintaining community social and economic security through the fiduciary function performed by the operations of Institutional Guardian Agencies (such as Community Trusts - Empowerment Sub-contracting Organizations), that promote business ownership expansion promotion through public/private community empowerment contracting collaborative partnerships. The establishment and preservation of a Trust Corpus of the IDATAÔs finances and supports future human development needs of community entrepreneurs (citizen/residents in need), through consolidated Federal and State Government resource education appropriation allocations. The resource allocations that the community citizen/residents qualify for institutionalizes a financial market governor that mitigates the government projects financial markets impact known as the "crowding out effect". The establishment and preservation of a Trust Corpus composed of IDATAÔ accounts under an investment regime that requires diversity of distribution over the main stream financial instrument insurance houses will establish an operating model for financial investment. An operating model for financial investment that creates financial instruments that represent real assets (i.e. capital assets that represent ownership of the assets of production [real wealth]). This regime results in the creation of real wealth assets that causes increased circulation and distribution of monetized assets in our society. The increased circulation of real wealth assets provides a basis for increased consumption that addresses the dilemma of management of abundance (i.e. gluts of products and services) that our society is faced with in our new economic era of computer automated production processes. Computer automated production processes that result in gluts of products and services that require adequate incomes to be generated in order to expand consumption.

In furtherance of the foregoing purposes, the corporation may do all things and acts and exercise all powers, rights and privileges which a nonprofit corporation may now or hereafter be organized, or authorized to do, or to exercise under the Nonprofit Corporation Law of the Commonwealth of Pennsylvania and the appropriate federal and state legislation, such as, specified in conjunction with all future adjunct legislative policies.

The program introduces to society a new standard turn-key operational procedure to provide social and economic advancement for needy citizen/resident student-client beneficiary-policyholders under the "Up From Dependency" framework in the under-served market place.

The Corporation is organized exclusively for civic betterment, social and economic improvements, educational and charitable purposes through community economic development, including for such purposes, the making of distributions to organizations to further economic and social welfare under Section 501(c)(15) and Section 501(c)(3)-1(c)(3)(ii) and (iv) after October 4, 1976 of the Internal Revenue Codes of 1986 (or the corresponding provision of any future United States Internal Revenue Law). The People Empowerment Mutual Life & Casualty Insurance Company, Inc. through: financing Basic and Technical Literacy; Health Literacy; and Financial Literacy activities, operates for the promotion of economic, education and social welfare. The People Empowerment Mutual Life & Casualty Insurance is primarily engaged in promoting through CROP - Action Team strategic public/private community alliance partnerships for the common good and for the general welfare of the needy resident student-clients of our local communities.

The CROP - Action Team strategic public/private community alliance partnerships operate to reform our social welfare system through a multi-level cause/relevant issue network marketing economic framework. The Wealth and Health Network Seminar Session (WHNS), is an implementation framework to bring community people into the CROP - Action Team education and economic institutional reform process. The Corporation does not contemplate pecuniary gain or profit, incidental or otherwise. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes of the corporation set forth in the first paragraph of Article 3 of the Articles of Incorporation, including contributions and donations for charitable purposes.

No substantial part of the activities of the corporation shall be for the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal Income Tax under Section 501(c)(15) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United Stated Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law) .

In the event of the entire or partial dissolution, termination or winding up of the corporation, the Board of Directors shall, after paying or making provision for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational or social welfare as shall at the time qualify as an exempt organization or organizations under Section 501(c)(15), 501(c)(7), 501(c)(6), 501(c)(4), 501(c)(3), 501(c)(2), 501© (25) or 501(c)(1) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United Stated Internal Revenue Law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by a Court of competent jurisdiction of the County in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
